Netcracker's General Counsel acts as the company’s chief Legal advisor and reports directly to the CEO. The General Counsel will provide advice and guidance on wide-ranging legal matters in support of the company’s strategic objectives with an emphasis on reviewing, drafting and negotiating a broad range of complex and routine contracts and agreements and providing industry related legal guidance.
The General Counsel will be a solutions-oriented attorney with a thorough understanding of both international and domestic laws, compliance, regulations, and legal and contractual principles applicable to our business. The successful candidate will have experience drafting and negotiating agreements, be proactive in his or her approach, concise, clear, and unambiguous in all interactions and communications. The General Counsel must be skilled at working effectively and collaboratively with management, external legal resources as well as our parent company/legal team located in Japan.
This position will be located at our Global Headquarters in Waltham, MA once our Covid reopening plans are made official (likely early 2022).
Serve as trusted advisor and business partner to the Executive Team on strategic issues and matters of concern.
Serve as Legal Compliance Officer.
Provide effective legal advice across all areas of the business and act to protect the business interests and objectives of the company by establishing and communicating contract risk and compliance standards and expectations, while creating opportunities and paths to allow the company to execute its strategy to the fullest extent.
Review, draft and negotiate a broad range of complex and routine contracts and agreements by working collaboratively with business and functional teams.
Assist the CEO in preparing for board meetings and complying with applicable internal corporate governance policies and procedures. Responsible for taking Board meeting minutes.
Act as a member of the company’s Ethics Committee.
Work with our parent legal team to manage compliance matters, legal issues, business continuity matters, intellectual property issues including patents, copyright and trademarks.
Engage and oversee the work of the internal, global legal team as well as outside counsel/law firms as appropriate.
J.D. from an accredited US law school with strong academic credentials
Admission to Massachusetts Bar
10+ years in-house experience drafting, reviewing and negotiating complex contracts in the technology sector/IT industry including but not limited to compliance, licensing agreements, joint venture agreements, technology transfer agreements, consulting, confidentiality and material transfer agreements, vendor agreements, IT support and software agreements, real estate agreements
Ability to head the compliance function and provide legal and risk management guidance on a variety of matters
Ability to research legal information to comply with international regulation and governance
Strong organizational skills, with the ability to juggle multiple and changing priorities to meet tight deadlines
Entrepreneurial with the ability to be hands-on and to think strategically and execute tactically
Demonstrated track record of positive impact in all positions held
Ability to respond effectively and quickly to requests and issues
Ability and desire to work collaboratively within an international team environment
Highly professional with superior verbal and written communications skills
